Terms of Service

These Terms of Service (“Terms”) govern your use of
primetrailersaustralia.com (the “Site”) and your purchase of trailers,
shipping containers, shipping container pools, camper trailers, boat
trailers, horse and livestock trailers, food trailers, enclosed
trailers, utility trailers and related goods and services (“Products”)
from Swinton Prime Trailers Australia (ABN 61 826 340 915) (“we”, “us”,
“our”).

By placing an order, paying a deposit or otherwise using the Site,
you agree to be bound by these Terms. Please read them carefully.
Nothing in these Terms excludes, restricts or modifies the rights you
have under the Australian Consumer Law (Schedule 2 to the
Competition and Consumer Act 2010 (Cth)) (“ACL”) or any other
rights that cannot be excluded by law.

2. Eligibility

You must be at least 18 years old and have legal capacity to enter
into a contract to purchase Products from us. By placing an order you
warrant that the information you provide is true, accurate and
complete.

3. Products, pricing and GST

• All prices on the Site are in Australian Dollars
  (AUD) and, unless stated otherwise, are inclusive of
  GST.
• Prices exclude delivery, freight, crane hire,
  registration, stamp duty, accessories and any state or territory fees,
  unless expressly included in your quote.
• We use reasonable efforts to ensure that descriptions, dimensions,
  weights, capacities, images and specifications shown on the Site are
  accurate. Slight variations between images and the actual Product may
  occur (for example, tyre brands, paint shade, or hardware finishes).
  Where a Product description contains an obvious error (including pricing
  errors), we reserve the right to correct the error and, if you have
  already paid, to refund you in full or supply the Product at the
  corrected price (your choice).
• Stock and availability are not guaranteed until your order is
  confirmed and your deposit is received.

4. Quotes and custom orders

• Written quotes are valid for 14 days unless
  stated otherwise.
• Custom-built or made-to-order Products (including custom trailers,
  food trailers and modified shipping containers) require a
  non-refundable deposit, the amount of which will be set out in your
  quote and order confirmation. Once production has commenced, deposits
  are not refundable except where we are unable to deliver the Product or
  where the ACL otherwise requires.
• Estimated build and delivery timeframes for custom orders are
  estimates only and are not contractual deadlines.

5. Orders and acceptance

Placing an order on the Site or accepting a quote is an offer to
purchase. A binding contract is formed only when we send you an order
confirmation (or an invoice marked “Paid”) confirming acceptance. We may
decline any order at our discretion, including where the Product is
unavailable, where there is a suspected fraud or pricing error, or where
we are unable to deliver to your address.

6. Payment

• We accept the payment methods displayed at checkout.
• For Products held in stock, full payment is required before
  delivery or pickup.
• For custom or made-to-order Products, a deposit is required to
  commence production and the balance is payable before delivery or
  pickup.
• Title in the Product does not pass to you until we have received
  cleared funds in full.
• Risk in the Product passes to you on delivery or, if you collect,
  on pickup.

7. Delivery and pickup

Delivery and pickup are governed by our Shipping Policy, which forms part of these
Terms.

8. Trailer compliance, registration and use

• Trailers supplied for road use will be supplied with a compliance
  plate, VIN, and any documentation required to register the trailer in
  the state or territory of supply.
• You are responsible for registering the trailer
  with the relevant state or territory road transport authority, paying
  any registration fees and stamp duty, and ensuring that the trailer and
  its load comply with all applicable road, towing and load-restraint
  laws.
• It is your responsibility to ensure that the towing capacity, ball
  weight, tyre rating and brake configuration of the trailer are suitable
  for your tow vehicle and intended use.
• Shipping containers and container pools sold “for placement” are
  not vehicles, are not registered, and are intended to be placed on a
  prepared site. You are responsible for site preparation, council
  approvals, plumbing and electrical connections.

9. Warranty

The manufacturer’s warranty (where applicable) is in addition to your
rights under the ACL. Specific warranty terms — including duration,
what is covered, exclusions, and the warranty claim process — will be
provided with your Product. To the maximum extent permitted by law, our
liability for warranty claims is limited to (at our option) the repair
or replacement of the Product, or the supply of an equivalent
Product.

10. Consumer guarantees (Australian Consumer Law)

Our goods come with guarantees that cannot be excluded under the
Australian Consumer Law. You are entitled to a replacement or refund for
a major failure and to compensation for any other
reasonably foreseeable loss or damage. You are also entitled to have the
goods repaired or replaced if the goods fail to be of acceptable
quality and the failure does not amount to a major failure.

11. Limitation of liability

Subject to the consumer guarantees and other rights you have under
the ACL that cannot be excluded, our total liability to you in
connection with any Product or these Terms is limited to (at our option)
the repair or replacement of the Product, the supply of an equivalent
Product, or the refund of the price you paid for the Product.

To the maximum extent permitted by law, we are not liable for any
indirect, consequential, special or punitive loss, including loss of
profit, loss of business opportunity, loss of use, or damage arising
from your failure to properly inspect, maintain, register, secure or use
the Product.

12. Intellectual property

All content on the Site — including text, images, logos, brand names,
product specifications and software — is owned by us or our licensors
and is protected by Australian and international copyright and trade
mark laws. You may not copy, reproduce, modify, distribute or use any
content from the Site without our prior written consent, except for
personal, non-commercial use.

13. Acceptable use

You agree not to:

• use the Site in any way that breaches any applicable law or
  regulation;
• attempt to gain unauthorised access to the Site or its supporting
  infrastructure;
• post or transmit any unlawful, defamatory, misleading or
  infringing content; or
• use any robot, scraper or automated means to access the Site
  without our prior written consent.

14. Privacy

Our handling of your personal information is governed by our Privacy Policy.

15. Force majeure

We are not liable for any failure or delay in performing our
obligations caused by events outside our reasonable control, including
natural disasters, fire, flood, storms, pandemics, industrial action,
shipping delays, port closures, supplier failures, or acts of
government.

16. Governing law

These Terms are governed by the laws of the Northern Territory,
Australia, and you and we submit to the non-exclusive jurisdiction of
the courts of that territory.

17. Changes to these Terms

We may amend these Terms from time to time by posting an updated
version on the Site. The version of the Terms that applies to your order
is the version in force at the time you place your order.
